Explorz Terms & Conditions Agreement as of 06/01/08

Welcome to the Explorz.com website (Explorz Inc, Explorz.com or the Site). Explorz.com is a web-based service provided and
owned by Explorz Inc. Explorz.com is a shopping portal where you can find the
lowest prices on products and services from online sellers and view their
store reviews.
You must agree to all terms and conditions before registering on the Explorz website.
Use of the Explorz website and the services offered constitutes your
acceptance of all terms and conditions stated in the User Agreement below.
Explorz reserves the right to
change or amend this agreement at any time. Changes or Amendments will be
posted to our site and considered effective 30 days from the date they are
posted to the site. If you do not agree to the announced/posted changes, you
may request that we close your account by contacting us via the Contact Us
link. This Agreement describes the terms and conditions applicable to your
use of our services available under the domain and sub-domains of
www.explorz.com (the "Site") and the general principles for the
websites of our subsidiaries. If you do not agree to be bound by the terms
and conditions of this Agreement, please refrain from using or accessing our
services. All
questions regarding this Agreement should be sent via email to Explorz's

Language of the Terms
Where Explorz has provided you with a translation of the English language
version of the Terms & Conditions, you agree that the translation is
provided for your convenience only and that the English language version of
the Terms will govern your relationship with Explorz. If there is any
contradiction between the English language version of the Terms and the
translated version, then the English language version shall take precedence.

USE OF SERVICES
You may only use this site as a general guide to search product deals and
coupons for your own private use and shall not use this site for any other
purposes. You may download, display and print one copy of the material
presented on this site for your personal, non-commercial use only.
Unauthorized use of this site and/or the materials contained on this site may
violate applicable copyright, trademark or other intellectual property laws
or other laws. The use of content on any other website or networked computers
is prohibited. You are prohibited from posting or transmitting any unlawful,
threatening, libelous, defamatory, obscene, indecent, inflammatory,
pornographic or profane material or any material that could constitute or
encourage conduct that would be considered a criminal offense, give rise to
civil liability, or otherwise violate any law.

APPROPRIATE CONDUCT
You understand that all information, data, text, software, music, sound,
photographs, graphics, video, messages or other materials
("Product"), whether publicly posted or privately transmitted, are
the sole responsibility of the person from which such Product originated.You agree that you are responsible
for your own conduct and Product while using Explorz and for any consequences
thereof. You agree to use Explorz only for purposes that are legal, proper
and in accordance with these and any applicable policies or guidelines.
By way of example, and not as a limitation, you agree that
when using Explorz, you will not:
- Defame,
abuse, harass, stalk, threaten or otherwise violate the legal rights
(such as rights of privacy and publicity) of others;
- Upload,
post, email or transmit or otherwise make available any inappropriate,
defamatory, infringing, obscene, or unlawful Product;
- Upload,
post, email or transmit or otherwise make available any Product that
infringes any patent, trademark, copyright, trade secret or other
proprietary right of any party, unless you are the owner of such rights
or have the permission of the owner to post such Product.
- Upload,
post, email or transmit or otherwise make available messages that
promote pyramid schemes, chain letters or disruptive commercial messages
or advertisements, or anything else prohibited by law, these Terms &
Conditions or any applicable policies or guidelines.
- Download
any file posted by another that you know, or reasonably should know,
that cannot be legally distributed in such manner;
- Impersonate
another person or entity, or falsify or delete any author attributions,
legal or other proper notices or proprietary designations or labels of
the origin or source of software or other material;
- Restrict
or inhibit any other user from utilizing and enjoying Explorz’s
services;
- Use
Explorz’s services for any illegal or unauthorized purpose;
- Remove
any copyright, trademark or other proprietary rights notices contained
in or on Explorz’s services;
- Interfere
with or disrupt Explorz’s services or servers or networks connected to
Explorz’s services, or disobey any requirements, procedures, policies or
regulations of networks connected to Explorz’s services;
- Use
any robot, spider, site search/retrieval application, or other device to
retrieve or index any portion of Explorz services or collect information
about users for any unauthorized purpose;
- Submit
Product that falsely expresses or implies that such Product is sponsored
or endorsed by Explorz;
- Create
user accounts by automated means or under false or fraudulent pretenses;
- Promote
or provide instructional information about illegal activities or promote
physical harm or injury against any group or individual; or
- Transmit
any viruses, worms, defects, Trojan horses, or any items of a destructive
nature.
International users agree to comply with their own local
rules regarding online conduct and acceptable content, including laws
regulating the export of data to the United States or your country of
residence. While
Explorz prohibits such conduct and Product in connection with Explorz, you
understand and agree that Explorz may or may not pre-screen Product and shall
have the right (but not the obligation) in its sole discretion to pre-screen,
refuse or remove any Product submitted to Explorz. You also understand and
agree that you nonetheless may be exposed to such conduct and/or Product and
that you use Explorz at your own risk.

YOUR PASSWORDS AND ACCOUNT SECURITY
You agree and understand that you are responsible for maintaining the confidentiality
of passwords associated with any account you use to access the Services.
Accordingly, you agree that you will be solely responsible to Explorz for all
activities that occur under your account. You may not disclose, share, or
distribute your password to any third party. If you feel your password has
been jeopardized, you may change your password at any time, and as often as
you wish. If you become aware of any unauthorized use of your password or of
your account, you agree to notify Explorz immediately. |

PERSONAL INFORMATION
You are responsible for your personal information. In the event that your
information creates a liability to us that may cause our Internet service
provider, suppliers, agents, or contractors to not provide or cancel services
to us because of such liability, we may take appropriate actions regarding
such information. The use of your information is explained in our current Privacy Policy. Explorz has
strict policies relating to members' contact information:
- Explorz
members may not misrepresent their identities.
- Explorz
members must always provide valid and complete contact information.
- For
everyone's safety, members are never permitted to publish the contact
information of other members in an online public area.
- Every
Explorz membership must always be associated with a valid email address.

PRODUCTS LISTED IN OUR SERVICES
The Site acts as a venue to allow members to access our services of posting
products and coupons for buyers to find in our search portal. We are not
involved in the actual transaction between buyers and sellers. As a result,
we have no control over the quality, safety or legality of the items advertised,
the truth or accuracy of the listings, the ability of sellers to sell items
or the ability of buyers to pay for items. We cannot ensure that a buyer or
seller will actually complete a transaction. Consequently, we do not transfer
legal ownership of items from the seller to the buyer, and nothing in this
agreement shall modify the governing provisions of Explorz Inc, under which
legal ownership of an item is transferred upon physical delivery of the item
to the buyer by the seller.
At no time does Explorz possess, hold, or offer any merchandise for sale, nor
are we involved in any part of the actual transaction. Because of our
non-involvement in these transactions, it is the sole responsibility of the
seller to accurately represent the quantity, quality, safety, authenticity,
and availability of the items the seller has listed on the site. Further, it
is the responsibility of the bidder/buyer to verify with the seller any or
all information about any item listed on Explorz, for which they intend on
purchasing, before making the purchase. Explorz can not be responsible for a
seller’s willingness or ability to sell any item they have listed, or a
buyer’s willingness to follow through with a transaction for an item(s) for
which they have purchased. We encourage open communication between buyers and
sellers before and after any transaction takes place.
You understand that all information (such as data files,
written text, computer software, music, audio files or other sounds,
photographs, videos or images) which you may have access to as part of, or
through your use of, the Services are the sole responsibility of the person
from which such content originated. All such information is referred to below
as the “Product”.
You should be aware that Product presented to you as part
of the Services, including but not limited to advertisements in the Services
and sponsored Product within the Services, may be protected by intellectual
property rights which are owned by the sponsors or advertisers who provide
that Product to Explorz (or by other persons or companies on their behalf).
You may not modify, rent, lease, loan, sell, distribute or create derivative
works based on this Product (either in whole or in part) unless you have been
specifically told that you may do so by Explorz or by the owners of that
Product, in a separate agreement. Explorz
reserves the right (but shall have no obligation) to pre-screen, review,
flag, filter, modify, refuse or remove any or all Product from any Service.
For some of the Services, Explorz may provide tools to filter out explicit
sexual content.
You understand that by using the Services you may be exposed to Product that
you may find offensive, indecent or objectionable and that, in this respect,
you use the Services at your own risk. You
agree that you are solely responsible for (and that Explorz has no
responsibility to you or to any third party for) any Product that you create,
transmit or display while using the Services and for the consequences of your
actions (including any loss or damage which Explorz may suffer) by doing so. |

PRODUCT LICENSE FROM YOU
You retain copyright and any other rights you already hold in Product which
you submit, post or display on or through, the Services. By submitting,
posting or displaying the Product, you give Explorz a perpetual, irrevocable,
worldwide, royalty-free, and non-exclusive license to reproduce, adapt,
modify, translate, publish, publicly perform, publicly display and distribute
any Product which you submit, post or display on or through, the Services.
This license is for the sole purpose of enabling Explorz to display,
distribute and promote the Services.You
agree that this license includes a right for Explorz to make such Product
available to other companies, organizations or individuals with whom Explorz
has relationships for the provision of syndicated services, and to use such
Product in connection with the provision of those services.You understand that Explorz, in
performing the required technical steps to provide the Services to our users,
may (a) transmit or distribute your Product over various public networks and
in various media; and (b) make such changes to your Product as are necessary
to conform and adapt that Product to the technical requirements of connecting
networks, devices, services or media. You agree that this license shall
permit Explorz to take these actions.You
confirm and warrant to Explorz that you have all the rights, power and
authority necessary to grant the above license.

This policy explains how Explorz treats your personal information and
protects your privacy, when you use the Services.You agree to the use of your data
in accordance with Explorz's Privacy Policies.
By using Explorz, you acknowledge and agree that Explorz
may access, preserve, and disclose your account information and any Product
associated with that account if required to do so by law or in a good faith
belief that such access, preservation or disclosure is reasonably necessary
to: (a) satisfy any applicable law, regulation, legal process or governmental
request, (b) enforce this Policy, including investigation of potential
violations hereof, (c) detect, prevent, or otherwise address fraud, security
or technical issues (including, without limitation, the filtering of spam),
(d) respond to user support requests, or (e) protect the rights, property or
safety of Explorz, its users and the public. Explorz will not be responsible
or liable for the exercise or non- exercise of its rights under the Policy.You understand that the technical
processing and transmission of Explorz services, including your Product, may
involve (a) transmissions over various networks; and (b) changes to conform
and adapt to technical requirements of connecting networks or devices.

ADDING CONTENT
In the event Explorz enabled you to add content to the site in the form of
reviews, deals, posts, or other content, Explorz shall be entitled, at its
absolute discretion, to publish, edit, refuse, or delete content provided to
it. Explorz will not permit the publishing of content that may be illegal
under United States
law. Explorz reserves the right to change, at its sole discretion, the
content, design, or services provided or any other aspect of the Explorz
website. |

DISPUTES AND RELEASE
Because Explorz has no involvement in transactions between users, we cannot
get involved in disputes between users. You hereby release Explorz, including
all officers, employees, parent companies, contractors, suppliers, or agents
from any and all liability of damages or claims resulting from such disputes. |

POLICIES REGARDING COPYRIGHT AND TRADEMARKS
Any use of Explorz's trade names, trademarks, service marks, logos, domain
names, and other distinctive brand features must be in compliance with this Policy.
It is our policy to respond to notices of alleged infringement that comply
with the United States Digital Millennium Copyright Act or other applicable
law. By
submitting Product to Explorz, you authorize Explorz to use your trademarks,
service marks, trade names, proprietary logos, domain names and any other
source or business identifiers in connection with Explorz's authorized distribution
of the Product.

SUBMISSION OF PRODUCT THROUGH A PRODUCT FEED
Certain types of Product may be submitted to Explorz electronically via
technical specifications provided to you by Explorz (the "Product
Feed"). You agree to comply with the then-current specifications
provided by Explorz to enable proper delivery and display of the Product. If
the Product submitted via the Product Feed contains URLs (or equivalent
thereof) that you are submitting to Explorz, you agree that Explorz has the
right to access, index, cache or crawl the URL(s) (or equivalent thereof),
the Product itself, or any portion thereof (without regard to any robots.txt
file which does not authorize crawling) in connection with Explorz's
authorized use of the Product. |

NO RESALE OF SERVICE
You agree not to reproduce, duplicate, copy, sell, trade, or resell any
portion of Explorz’s services, use of Explorz’s services, or access to
Explorz’s services. |

PUBLIC COMMUNITY FORUM
Explorz provides public forums in our Community area, in which registered
members may post messages and enjoy interacting with other registered
members. These forums are provided as a courtesy to the Explorz community.
Explorz is not responsible for the content posted in threads/posts and may
not agree with the views expressed therein.The following types of posts or comments are considered
3 in any forum on our site. Posting of such may result in the
suspension of your ability to post in our Community or the suspension of your
Explorz Account.
- Posts
that contain any code or programming routine that interferes with the
stability of the site or the ability of others to post messages in a
forum.
- Posts
that advertise items you have for sale on inappropriate threads. The
Community area has designated forums and threads for sellers to
advertise their items.
- Posts
that contain profanity or that are defamatory in nature.
- Posts
that contain adult pictures, material, or links.
- Posts
that disclose personally identifiable information about another registered
member.
- Posts
that are disruptive in nature, harass, or threaten another member or
Explorz's staff member.
Additional guidelines may be posted and amended regarding the use of our
community forum. |

STORE REVIEW/FEEDBACK
Explorz provides registered users with the ability to leave comments about
their experiences in dealing with registered stores through our Store Review
system. The following actions regarding the use of the Store Review system
are prohibited:
- Leaving
a Store Review which contains vulgarity or profanity.
- Leaving
a Store Review that discloses another user’s personally identifiable
information.
It is expected that you will use the Store Review system
in a manner that upholds and maintains the integrity of the Store Review
system.

ADVERTISEMENTS
Many Explorz services are supported by advertising revenue and may display
advertisements and promotions on the Service. These advertisements may be
targeted to the content of information stored on the Services, queries made
through the Services or other information. The manner, mode and extent of
advertising by Explorz on its services are subject to change. In
consideration for Explorz granting you access to and use of the Services, you
agree that Explorz may place such advertising on the Services. You agree that
Explorz shall not be responsible or liable for any loss or damage of any sort
incurred by you as a result of any such dealings or as the result of the
presence of such advertisers on Explorz’s services.
Explorz may not have control over any websites or resources which are
provided by companies or persons other than Explorz. You acknowledge and
agree that Explorz is not responsible for the availability of any such
external sites or resources, and does not endorse any advertising, products
or other materials on or available from such websites or resources.You acknowledge and agree that
Explorz is not liable for any loss or damage which may be incurred by you as
a result of the availability of those external sites or resources, or as a result
of any reliance placed by you on the completeness, accuracy or existence of
any advertising, products or other materials on, or available from, such websites
or resources. |

LINKS
Explorz services may provide, or third parties may provide, links to other
World Wide Web sites or resources. Because Explorz has no control over such
sites and resources, you acknowledge and agree that Explorz is not
responsible for the availability of such external sites or resources, and
does not endorse and is not responsible or liable for any advertising,
products, or other materials on or available from such sites or resources.
You further acknowledge and agree that Explorz shall not be responsible or
liable, directly or indirectly, for any damage or loss caused or alleged to
be caused by or in connection with use of or reliance on any such Product,
goods or services available on or through any such site or resource. |

INDEMNITY
You agree to hold harmless and indemnify Explorz, and its subsidiaries, affiliates,
officers, agents, employees, advertisers or partners, from and against any
third party claim arising from or in any way related to your use of Explorz’s
services, or violation of these or any other actions connected with the use
of Explorz’s services or the infringement by you or any other user of this
site using your computer, of any intellectual property or other right of any
person or entity, including any liability or expense arising from all claims,
losses, damages (actual and consequential), suits, judgments, litigation
costs and attorneys' fees, of every kind and nature. In such a case, Explorz
will provide you with written notice of such claim, suit or action. |

CHANGES AND NOTIFICATION
You agree that Explorz may provide you with notices, including those
regarding changes to the Terms & Conditions Agreement, by email, regular
mail, or postings on Explorz services.
All notices given between both parties (You and Explorz)
will be made via email, certified mail, or registered mail. Notices will be
sent to the email address that you provided during the registration process
or currently have on file in your account with us. In these instances, unless
the party sending the email is notified that the recipient's email address is
invalid, such notices will be considered given 24 hours from the time the
email is sent. Notices regarding changes to the terms and conditions of the
Terms & Conditions Agreement may be announced by posting such changes to
the site, and will be considered served and effective 30 days from the time
of such posting.
You understand and agree that if you use the Services after the date on which
the Terms & Conditions Agreement have changed, Explorz will treat your
use as acceptance of the updated Terms & Conditions Agreement.

LEGAL RESPONSIBILITY
It is your responsibility to comply with all applicable laws, statutes,
ordinances and regulations regarding your use of our service and your
listing, purchase and sale of items through our site. |

NO PARTNERSHIP / AGENCY
You and Explorz act as independent contractors. At no time is any
partnership, agency, joint venture, employee-employer or
franchiser-franchisee relationship intended or created by this Agreement. |

VIOLATION OF TERMS AND CONDITIONS AGREEMENT
We may terminate your account, temporarily or permanently, should you violate
any portion of this User Agreement. This includes the termination or
suspension of any listings you may be displaying at the time, without refund
of any fees or compensation or liability for loss of business or revenues
which you may claim, as a result of such termination. |

TERMINATION
You may cancel your use of Explorz’s services and/or terminate this Terms
& Conditions Agreement with or without cause at any time by providing
notice to Explorz provided, however, that a terminated account may continue
to exist for up to two business days before such cancellation takes effect.
Explorz may at any time and for any reason, including a period of account
inactivity, terminate your access to Explorz’s services, terminate this Terms
& Conditions Agreement, or suspend or terminate your account. In the
event of termination, your account will be disabled and you may not be
granted access to your account or any files or other content contained in
your account although residual copies of information may remain in our
system. Except as set forth above or unless Explorz has previously canceled
or terminated your use of Explorz services (in which case subsequent notice
by Explorz shall not be required), if you have provided an alternate email
address, Explorz will notify you via email of any such termination or
cancellation, which shall be effective immediately upon Explorz's delivery of
such notice. |

GENERAL LEGAL TERMS
This Agreement and the terms and conditions herein, shall be governed by the
laws of the State of Florida.
You further submit to the legal jurisdiction of the State of Florida and agree that any legal action or proceeding
regarding this Agreement, whether it be on a local, state, or federal level,
shall be brought in a court within the jurisdiction of the State of Florida.
Notwithstanding this, you agree that Explorz shall still be allowed to apply
for injunctive remedies (or an equivalent type of urgent legal relief) in any
jurisdiction. Sometimes
when you use the Services, you may (as a result of, or through your use of
the Services) use a service or download a piece of software, or purchase
goods, which are provided by another person or company. Your use of these
other services, software or goods may be subject to separate terms between
you and the company or person concerned. If so, the Terms do not affect your
legal relationship with these other companies or individuals.
The Terms constitute the whole legal agreement between you and Explorz and
govern your use of the Services (but exclude any services which Explorz may
provide to you under a separate written agreement), and completely replace
any prior agreements between you and Explorz in relation to the Services.You agree that Explorz may provide
you with notices, including those regarding changes to the Terms, by email,
regular mail, or postings on the Services.If
any court of law, having the jurisdiction to decide on this matter, rules
that any provision of these Terms is invalid, then that provision will be
removed from the Terms without affecting the rest of the Terms. The remaining
provisions of the Terms will continue to be valid and enforceable.You acknowledge and agree that
each member of the group of companies of which Explorz is the parent shall be
third party beneficiaries to the Terms and that such other companies shall be
entitled to directly enforce, and rely upon, any provision of the Terms which
confers a benefit on (or rights in favor of) them. Other than this, no other
person or company shall be third party beneficiaries to the Terms.
Entire Agreement. The Terms &
Conditions Agreement constitutes the entire agreement between you and Explorz
and governs your use of Explorz’s services, superseding any prior agreements
between you and Explorz. You also may be subject to additional terms and
conditions that may apply when you use or purchase certain other Explorz
services, affiliate services, third-party content or third-party software.
Choice of Law
and Forum. The Terms & Conditions
Agreement and the relationship between you and Explorz shall be governed by
the laws of the State of Florida
without regard to its conflict of law provisions. You and Explorz agree to
submit to the personal and exclusive jurisdiction of the courts located
within the county of Palm Beach, Florida.
Waiver and
Severability of Terms. The failure of Explorz to
exercise or enforce any right or provision of the Terms & Conditions
Agreement shall not constitute a waiver of such right or provision. If any
provision of the Terms & Conditions Agreement is found by a court of
competent jurisdiction to be invalid, the parties nevertheless agree that the
court should endeavor to give effect to the parties' intentions as reflected
in the provision, and the other provisions of the Terms & Conditions
Agreement remain in full force and effect.
Statute of Limitations. You
agree that regardless of any statute or law to the contrary, any claim or
cause of action arising out of or related to use of Explorz’s services or the
Terms & Conditions Agreement must be filed within one (1) year after such
claim or cause of action arose or be forever barred.The section headings in the Terms
& Conditions Agreement are for convenience only and have no legal or
contractual effect.

Explorz is committed to providing policies that benefit
our users, advertisers, partners, and Explorz. To achieve this goal, we
maintain high standards for items accepted into the Explorz program. The
policies listed below complement our Terms and Conditions and describe
Explorz's posting policies with regards to all items. To post on Explorz you
must adhere to our program policies.
- Language
– All items and any corresponding landing pages must be in English.
- Links:
- Your
URLs must link to a working website.
- Your
URLs must link directly to the web pages that contain information about
your items.
- We
do not allow links to an email address or a file (ex. an image, audio,
video, or document file) that requires an additional program or
application to open or run.
- We
do not allow links to content or landing pages that require a
registration or password to view.
- We
do not allow links to pages that require the acceptance of cookies to
render.
